Two new board members at Marie Brizard

Marie Brizard Wine & Spirits has announced that, at the upcoming shareholders’ meeting to be held on 21 June 21, shareholders will be asked to approve the appointment of two new board members.

To replace Mehdi Bouchaara, who passed away in March, the board of directors will ask Marie Brizard Wine & Spirits’ shareholders to approve the appointment of Hachem Belghiti, co-opted during the board meeting on May 9, as a new board member for the remaining duration of his predecessor’s mandate, until the shareholders’ meeting called to approve the group’s 2018 accounts.

To take into account the increased shareholding of COFEPP (La Martiniquaise Bardinet group), the board will also ask the shareholders’ meeting to approve the appointment of Edith Cayard as a new board member for a period of six years until the shareholders’ meeting called to approve the group’s 2021 accounts.

The company says these proposed appointments reflect Diana Holding and COFEPP’s commitment to and involvement in the group’s development. These two shareholders thus together accounted for almost 70% of the early exercise of the 2016 stock warrants that enabled the group to receive a total cash inflow of €36 million in April 2016.

Assuming these appointments be approved at meeting, the board of directors would consist of the following 11 members:

·         Five independent board members: Constance Benqué, Christine Mondollot, Benoît Ghiot, Benoît Hérault and Guillaume de Belair;

·         Three board members representing Diana Holding: Rita Maria Zniber, Serge Heringer and Hachem Belghiti;

·         One board member representing DF Holding, Castel group: Laurence Dequatre;

·         Two board members representing COFEPP (La Martiniquaise Bardinet): Jean-Pierre Cayard and Edith Cayard.

The board has pledged that its chairperson should continue to be an independent board member, and a change in the chairperson is not proposed. Diana Holding, DF Holding and COFEPP have backed this pledge.
